Terms of Service

These Terms of Service constitute a legally binding agreement. Please read them carefully.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ANDI Labs, Inc. ("ANDI Labs," "we," "us," or "our") governing your access to and use of the ANDI platform, including the website located at coachandi.app and practice.coachandi.app, all related applications, and associated services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I agree" or any similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using the Service.

If you are using the Service on behalf of a school, district, or other educational institution ("Institution"), you represent and warrant that you have the authority to bind that Institution to these Terms, and references to "you" shall include both you individually and the Institution.

2. Description of Service

ANDI is an AI-powered instructional coaching platform designed exclusively for professional educators. The Service enables educators to:

  • Record and upload classroom audio sessions for analysis
  • Receive AI-generated transcriptions of recorded audio via third-party transcription services
  • Receive AI-generated coaching insights, feedback, and a Classroom Impact Quotient (CIQ) score based on the Equity, Creativity, and Innovation (ECI) framework
  • Track professional growth and instructional patterns over time
  • Access personalized coaching recommendations for instructional improvement

The Service is intended solely as a professional development and self-reflection tool for educators. It is not a student assessment, evaluation, or data collection platform. ANDI Labs reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to users.

3. Eligibility and Authorization

To use the Service, you must:

  • Be at least 18 years of age
  • Be a licensed or credentialed educator, school administrator, instructional coach, or other authorized educational professional
  • Have obtained authorization from your employing Institution to use the Service
  • Have the legal capacity to enter into binding contracts in your jurisdiction
  • Not be prohibited from receiving services under applicable law

The Service is not directed to students and students may not register for or use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

To access the Service, you must create an account using an approved institutional email address or an authorized single sign-on (SSO) provider. You agree to:

  • Provide accurate, current, and complete information during registration and keep your account information updated
  • Maintain the confidentiality and security of your account credentials
  • Not share your account credentials with any other person
  • Immediately notify ANDI Labs at hello@andilabs.education of any unauthorized access to or use of your account
  • Accept responsibility for all activity that occurs under your account

ANDI Labs reserves the right to refuse registration to, or terminate accounts of, any person or entity in its sole discretion.

5. Audio Recording — Your Consent Obligations

Important: You are solely responsible for ensuring that all recordings made using the Service comply with applicable federal, state, and local laws and your Institution's policies.

The Service allows you to record, upload, or stream audio of classroom sessions. Recording laws vary significantly by jurisdiction. Many states require the consent of all parties being recorded ("all-party consent" states), while others require only the consent of one party. Before recording any session, you must:

  • Determine the recording consent laws applicable in your jurisdiction
  • Obtain all legally required consents from students, parents or guardians (where required), and any other individuals who may be recorded
  • Obtain authorization from your Institution to record and process classroom audio
  • Follow all applicable provisions of the Family Educational Rights and Privacy Act (FERPA), the Protection of Pupil Rights Amendment (PPRA), and applicable state student privacy laws
  • Inform all participants that the session is being recorded and that the recording will be processed by an AI coaching platform

ANDI Labs does not verify whether you have obtained the required consents. By uploading or streaming any audio recording, you represent and warrant that you have obtained all legally required consents and approvals.

You acknowledge that audio recordings of classroom sessions may constitute or contain educational records under FERPA if they are directly related to a student and maintained by an educational agency or institution. You are solely responsible for handling such records in compliance with FERPA and your Institution's data governance policies.

6. Acceptable Use

You agree to use the Service only for lawful, educational, and professional development purposes consistent with these Terms. You agree not to:

  • Use the Service for any purpose other than professional educator development and instructional coaching
  • Record or upload audio of any person without obtaining all required legal consents
  • Use the Service to evaluate, discipline, or make employment decisions about any individual
  • Use AI-generated outputs as the sole or primary basis for any consequential decision about a student or educator
  • Share your account or provide access to the Service to unauthorized individuals
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
  • Scrape, crawl, or systematically extract data from the Service
  • Upload content that infringes intellectual property rights or violates any applicable law
  • Transmit any malicious code, viruses, or disruptive software
  • Circumvent or interfere with any security or access control features of the Service
  • Use the Service to harass, intimidate, or harm any individual
  • Misrepresent your identity or institutional affiliation

7. Our Ethical AI Commitments

ANDI Labs is committed to the ethical, equitable, and transparent use of artificial intelligence in education. We make the following binding commitments regarding how AI is used in the Service:

  • Professional Growth Only. AI-generated insights, coaching feedback, CIQ scores, and related outputs are designed exclusively for educator professional development and self-reflection. They are not performance evaluations, employment assessments, or indicators of professional fitness, and must not be used as the basis for any HR, employment, tenure, credentialing, or disciplinary decision.
  • No Training on Your Data. ANDI Labs does not use your recordings, transcripts, coaching analyses, or any other content you submit to train, fine-tune, or improve any AI model — whether operated by ANDI Labs or any third party.
  • Human Judgment Prevails. AI-generated outputs are suggestions and insights, not directives. Teachers retain full professional judgment and discretion. No coaching recommendation from the Service replaces the expertise, context, and judgment of an experienced educator.
  • Transparency. All AI-generated content is clearly identified as such within the Service. ANDI Labs discloses the third-party AI providers used in the Service in our Privacy Policy.
  • Accuracy Limitations. AI-generated transcriptions and analyses may contain errors, omissions, or inaccuracies. You should independently verify any AI-generated output before relying on it for any purpose.
  • No Student Profiling. ANDI Labs does not create individual student profiles, behavioral records, or predictive models based on classroom recordings. The Service is focused on teacher practice, not student assessment.
  • Purpose Limitation. Data you provide is used only to deliver the coaching services described in these Terms and our Privacy Policy. We do not repurpose your data for advertising, marketing, or any use unrelated to your coaching experience.

By agreeing to these Terms, you also agree to uphold these principles when using AI-generated insights from the Service in your professional practice.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, share, and protect your information, including audio recordings, transcripts, and coaching analysis data.

You retain ownership of any recordings, transcripts, and other content you submit to the Service. By submitting content, you grant ANDI Labs a limited, non-exclusive license to process, store, and use that content solely to provide the Service to you, consistent with our Privacy Policy. This license terminates when you delete the content or close your account.

9. Intellectual Property

ANDI Labs' IP. The Service, including its software, algorithms, user interface, design, text, graphics, logos, trademarks, and the Classroom Impact Quotient (CIQ) framework and methodology, is the exclusive property of ANDI Labs and its licensors, protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the purposes described in these Terms.

Your Content. You retain all ownership rights in the audio recordings, transcripts, and other content you submit. You represent and warrant that you have all rights necessary to submit such content and to grant ANDI Labs the license described above.

Feedback. If you provide any suggestions, feedback, or ideas regarding the Service, you grant ANDI Labs a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

10. Third-Party Services and Integrations

The Service relies on third-party service providers to deliver core functionality, including but not limited to:

  • ElevenLabs — for audio transcription services
  • Google LLC (Gemini API) — for AI coaching analysis
  • Microsoft Azure — for cloud infrastructure and storage

Your use of the Service is subject to the terms and privacy policies of these third-party providers. ANDI Labs is not responsible for the acts, omissions, or policies of third-party providers, except as required by applicable law.

The Service may also permit authentication via Google OAuth and Microsoft Azure Entra ID. Your use of these authentication services is governed by the respective providers' terms of service.

11. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, ANDI Labs expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Any warranty regarding the accuracy, completeness, or reliability of any AI-generated transcription, coaching insight, CIQ score, or other output
  • Any warranty that the Service will meet your specific requirements or expectations

AI-generated content is probabilistic and inherently imperfect. You acknowledge that transcriptions may be inaccurate and coaching insights reflect algorithmic analysis, not professional judgment. Always apply your own professional expertise when interpreting AI outputs.

12. Limitation of Liability

To the fullest extent permitted by applicable law, ANDI Labs and its officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Cost of substitute services
  • Any damages arising from reliance on AI-generated outputs
  • Any damages arising from unauthorized access to or alteration of your transmissions or data
  • Damages related to recording consent violations by users

In no event shall ANDI Labs' total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total fees paid by you to ANDI Labs during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent applicable law prohibits such exclusions or limitations, they shall apply to the maximum extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless ANDI Labs and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your failure to obtain legally required recording consents
  • Your violation of FERPA, COPPA, or any other educational privacy law
  • Your use of AI-generated outputs in any employment, evaluation, or disciplinary proceeding
  • Any content you submit to the Service, including claims that such content infringes any third-party rights
  • Your breach of any representation or warranty in these Terms

14. Term and Termination

These Terms remain in effect for as long as you use the Service. ANDI Labs may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if:

  • You breach any provision of these Terms
  • ANDI Labs determines, in its sole discretion, that your use of the Service poses a legal, security, or reputational risk
  • Your Institution's agreement with ANDI Labs is terminated or expires
  • ANDI Labs discontinues the Service

You may terminate your account at any time by contacting us at hello@andilabs.education.

Upon termination, your right to access the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy, subject to any legal obligations requiring retention. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 7–9 and 11–17.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. [Note: Confirm governing state with legal counsel before publishing.]

Informal Resolution. Before initiating any formal dispute, you agree to first contact us at hello@andilabs.education and provide a written description of the dispute. The parties will attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration. If the dispute is not resolved informally, you and ANDI Labs agree that any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of the Service or infringement of intellectual property rights.

Class Action Waiver. You agree that any arbitration or legal proceeding shall be conducted on an individual basis only, and not in a class, collective, or representative action.

Some jurisdictions, including certain states and countries, do not permit mandatory arbitration or class action waivers. If you are located in such a jurisdiction, the above arbitration and class action waiver provisions may not apply to you to the extent prohibited by law.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any additional agreements you enter into with ANDI Labs (such as an Institutional Data Processing Agreement), constitute the entire agreement between you and ANDI Labs regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

Waiver. No waiver of any term or condition shall be deemed a continuing waiver of such term or condition or any other term or condition. ANDI Labs' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without ANDI Labs' prior written consent. ANDI Labs may assign these Terms in connection with a merger, acquisition, or sale of assets.

Changes to Terms. ANDI Labs reserves the right to modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' notice via email to your registered address or a prominent notice within the Service. Continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
